Official Rules

  1. NO PURCHASE NECESSARY TO ENTER OR WIN. 
  2. VOID WHERE PROHIBITED BY LAW.
  3. Eligibility: Each person who enters or wins the Sweepstakes (“you,” “entrant,” or “winner”) fully and unconditionally agrees to be bound by these Official Rules and all decisions of Kinsta Inc. (“Sponsor”), which are final and binding in all matters relating to the Sweepstakes. The Sweepstakes is only open to attendees of WordCamp USA 2024 who are eighteen (18) years old or older at the time of entry and have a valid email address. Employees, contractors, directors, and officers of Sponsor and its parent and affiliated companies and their immediate family members (parent, child, sibling, and spouse of each, regardless of where they reside) and those living in the same households of each (whether related or not) are not eligible. 
  4. Entry Period: The Sweepstakes begins at 12:00 am,PDT on 17/09/2024 and will end on 20/09/2024 at 11:59 pm CET (the “Entry Period”). Entries submitted before or after the Entry Period will not be eligible. Sponsor’s computer is the official timekeeping device for the Sweepstakes, and the Sponsor is the official timekeeper for the Sweepstakes.
  5. How to Enter and Number of Entries: You may enter the Sweepstakes by visiting http://kinsta.com/snag-your-swag/(the “Sweepstakes Site”) and completing the Sweepstakes entry form. Entries that are incomplete, incorrect, incomprehensible, not received, or do not otherwise comply with these Official Rules will not be entered into the Sweepstakes. Entries made by regular mail, facsimile, courier, third-party entry service or agency, automated means, or any other manner not specifically allowed under these Official Rules will not be entered into the Sweepstakes. 
  6. Winner Selection & Odds: Sponsor will select three (3) potential winners in a random drawing of all entries received shortly after the Entry Period ends. The odds of winning depend on the number of entries received. The Sponsor cannot accurately predict the number of entrants who will participate in the Sweepstakes during the Entry Period. Entrants may only win once. 
  7. Prizes and Approximate Retail Value: One (1) prize will be awarded to three winners. The total prize approximate retail value will be USD $50, as follows (all USD).

Prizes are not transferable, and no substitution or cash redemption of prizes is permitted, except in Sponsor’s sole discretion. If any prize cannot be awarded for any reason, Sponsor reserves the right to substitute a prize of equal or greater value in its sole discretion. All federal, state, and local income taxes on the prizes and all other costs associated with acceptance or use of the prizes or participation in any prize related activities are the sole responsibility of the winner. 

  1. Winner Notification: The winner will be announced live at our booth on Friday, 20 September 2024 at 15:00 (PDT). You must be present at the Kinsta booth to claim your prize. If the selected winner is not present, an alternate winner will be chosen at random from all remaining entries until a valid winner is present and claims the prize.
  2. Winner Obligations: Winner must agree to and be eligible for services under Sponsor’s terms of service to receive the prizes. Except where prohibited, a winner may be required to complete, sign, and return an affidavit of eligibility, a W-9, a liability release, and where lawful, a publicity release within a stated amount of time. The winner’s failure to return any required documents in a timely and complete manner, or a determination that a winner is ineligible or not in compliance with these Official Rules, as determined by the Sponsor in its sole discretion, may result in disqualification of the winner and forfeiture of the corresponding prize. If such a disqualification occurs, Sponsor will select an alternate winner at random from all remaining entries.
  3. Your Content, Likeness, and Publicity:
    1. In connection with the Sweepstakes, you may post, import, upload, store, share, send, display, or otherwise transmit text, data, information, code, software, domain names, materials, designs, photos, images, media files, logos, or any other content through social media or other internet services (collectively, “Your Content”). Your Content must not (i) include or use the intellectual property of other parties without their prior written permission, including any third-party code, music, photographs, artwork, trademarks, logos, or slogans, (ii) infringe or otherwise violate any right of any third party, including any copyright, trademark, patent, trade secret, moral right, or publicity or privacy rights, or (iii) include any person, or personally identifiable information about anyone, other than you, unless you receive prior written approval from such person or their parent or guardian.
    2. You own and retain all right, title, and interest in and to Your Content, subject to the rights granted to Sponsor in this paragraph. You hereby grant to Sponsor a sole, perpetual, irrevocable, freely transferable and sublicensable, fully paid-up, and royalty-free right and license to use Your Content, including all copyrights, trademarks, moral rights, and other intellectual property rights therein and all renewals and extensions thereof, in all formats and media, whether now known and existing or hereafter discovered or developed, throughout the universe, solely and exclusively for the purpose of promoting the Sponsor and the Sweepstakes. For purposes of clarity and without limiting the foregoing, you waive all moral rights in Your Content and agree that the above license gives Sponsor the right: (a) to modify, edit, combine with other materials, translate, include in collective works, and otherwise create derivative works of Your Content; and (b) to reproduce, perform (publicly or otherwise), display (publicly or otherwise), and transmit Your Content, including any derivative works of Your Content, in whole or in part.
    3. You hereby grant to Sponsor the right to use your name, image, appearance, likeness, voice, and biographical, social, professional, and other identifying information (collectively, “Likeness”) solely and exclusively for the purpose of announcing the winner and promoting the Sponsor, the Sweepstakes, Your Content, and any derivative works Sponsor makes from Your Content.
  4. Marketing Consent: By entering the Sweepstakes, you acknowledge and agree that Sponsor will use the contact information you provide to Sponsor for Sponsor’s marketing or promotional purposes. You may at any time revoke the use of such information by providing written notice to Sponsor or by responding to a marketing email using the unsubscribe link provided in the email. Please note that your opt-out preference will apply to marketing communications and may not apply to transactional communications including those associated with your entry.
  5. Privacy: The personal information collected through this Sweepstakes is subject to the Kinsta Privacy Policy located at https://kinsta.com/legal/privacy-policy/. In the event of any conflict between these Official Rules and the Kinsta Privacy Policy, these Official Rules shall control and take precedence.
  6. Sponsor Rights & Responsibilities: All applicable federal, state, and local laws apply. Sponsor reserves the right, at its sole discretion, to disqualify and bring legal action against any individual who tampers with or attempts to tamper with the entry process or who enters using any automatic or programmed entry duplication method, or any entry service.

CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY CORRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY, BRING LEGAL ACTION AGAINST, AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Any dispute regarding the identity of an entrant will be resolved by Sponsor in its sole discretion, and if Sponsor cannot promptly or reasonably resolve an identity dispute, Sponsor will select an alternate winner at random from all remaining entries.

  1. Release & Limitation of Liability: By entering the Sweepstakes, you hereby agree to release and hold harmless Sponsor, its parent, subsidiaries, and affiliates, and each of their respective officers, directors, employees, representatives, contractors, and agents (the “Released Parties”) from and against any liability, loss, expense, accident, delay, inconvenience or irregularity, claim, or cause of action arising out of or in connection with your participation or attempted participation in the Sweepstakes or your receipt or use or attempted use of any prize. Sponsor is not responsible or liable for: (i) late, incomplete, or incorrect entries; (ii) an entrant’s failure to receive prize notices due to entrant’s spam, junk e-mail, or other security settings or for entrants’ provision of incorrect or otherwise non-functioning contact information; (iii) technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications; (iv) causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity, or proper conduct of this Sweepstakes; or (v) any typographical, technological, or other error in the publishing of the offer, administration of the Sweepstakes, or announcement of the prize. 

Sponsor reserves the right, in its sole discretion, to suspend or terminate this Sweepstakes without awarding any prize if, for any reason, this Sweepstakes cannot be executed as planned, including but not limited to infection by virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity, or proper conduct of this Sweepstakes, or if this Sweepstakes is compromised or becomes corrupted in any way, electronically or otherwise. 

You further agree that the Sponsor’s and Released Parties’ liability and damages, if any, arising out of or in connection with your participation or attempted participation in the Sweepstakes is limited to the actual, direct cost of submitting your entry into the Sweepstakes, and in no event shall the Sponsor or Released Parties be liable for any costs or attorney’s fees or punitive, exemplary, consequential, or indirect damages of any kind.

  1. Disputes, Venue, & Governing Law: PLEASE READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES WITH SPONSOR AND IT LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. You agree that any and all disputes, claims, and causes of action arising out of, or connected with your participation or attempted participation in the Sweepstakes shall be resolved through final and binding individual arbitration in the City of Wilmington, State of Delaware, USA.  The arbitration will be conducted confidentially by a single arbitrator in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. All such disputes shall be governed by and construed in accordance with the laws of the State of Delaware, USA without regard to its conflict of laws principles. If for any reason this agreement to arbitrate does not apply to the dispute, any judicial proceeding, including any appeal of an arbitration award, will be brought exclusively in the federal or state courts located in the City of Wilmington, State of Delaware, USA. You consent to exclusive venue and personal jurisdiction there, and you waive your right to a jury trial. WHETHER THE DISPUTE IS HEARD IN ARBITRATION OR IN COURT, YOU WAIVE ANY RIGHT TO COMMENCE A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE ACTION OR PROCEEDING.
  2. Third Party Platforms: If this Sweepstakes is hosted, administered, or operated on a third party platform, including without limitation a social media platform (e.g. LinkedIn, Facebook or Twitter) (“Third Party Platform”), then by participating in this Sweepstakes, entrants hereby release and agree to comply with all rules and policies set forth by such Third Party Platform and to hold harmless such Third Party Platform from any and all liability, loss, or damages arising from or in connection with the awarding, receipt, and/or use or misuse of prizes or participation in any prize related activities. Unless otherwise stated to the contrary in these Official Rules, this Sweepstakes is not sponsored, endorsed or administered by, or associated with, any Third Party Platform.
  3. Miscellaneous. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials or notifications and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control.
